Dexterion (“Company,” “we,” “us,” or “our”) provides enterprise-grade AI software, workflows, APIs, and related services (the “Software”) for internal business operations.

This Data & Privacy Policy explains how we collect, use, protect, and process data in connection with our Software and services.

Dexterion is committed to enterprise-level security, confidentiality, and regulatory compliance.

2. Scope

This Policy applies to:

  • Enterprise clients (“Licensees”)

  • Authorized employees and contractors of Licensees

  • Website visitors

  • API users and integration partners

This Policy does not apply to third-party platforms not controlled by Dexterion.

3. Data We Collect

A. Client-Provided Data

  • Business operational data

  • Uploaded documents and files

  • API input/output data

  • Configuration settings

  • User account credentials (business accounts only)

B. Technical & Usage Data

  • IP address

  • Device/browser metadata

  • System logs

  • Performance metrics

  • Security event logs

C. Limited Personal Data (If Applicable)

If clients process regulated data (e.g., under GDPR or HIPAA), such data is processed solely to deliver contracted services.

4. How We Use Data

Dexterion uses data exclusively to:

  • Deliver and operate the Software

  • Provide enterprise support

  • Maintain system security

  • Improve performance and reliability

  • Comply with legal obligations

We do not sell client data.
We do not use client data for advertising.
We do not claim ownership of client data.

Clients retain full ownership and control of their data.

5. Data Security

Dexterion implements enterprise-grade security measures, including:

  • Encryption in transit (TLS 1.2+)

  • Encryption at rest (AES-256)

  • Role-based access controls

  • Audit logging

  • Infrastructure hardening

  • Secure authentication protocols

Access is restricted to authorized personnel under strict confidentiality obligations.

6. Compliance

Dexterion is designed to support compliance with:

  • GDPR (General Data Protection Regulation)

  • HIPAA (where applicable and contractually required)

Where required, Data Processing Agreements (DPAs) and Business Associate Agreements (BAAs) may be executed upon request.

Clients are responsible for ensuring their own lawful basis for data collection and processing.

7. Data Retention

Data is retained:

  • For the duration of the License term

  • As required to fulfill contractual obligations

  • As required by applicable law

Upon termination:

  • Client data will be deleted or returned upon request

  • All retained copies are securely destroyed in accordance with industry standards

8. Confidentiality

All non-public information exchanged under the License is considered confidential.

Dexterion does not disclose client data except:

  • As required by law

  • To approved subprocessors under strict contractual safeguards

  • With explicit client authorization

9. Subprocessors

Dexterion may engage vetted infrastructure providers (e.g., secure cloud hosting partners) to operate the Software.

All subprocessors are required to maintain enterprise-level security standards and contractual confidentiality obligations.

10. International Transfers

If data is transferred outside the United States, appropriate safeguards are implemented in accordance with applicable law.

11. Client Responsibilities

Enterprise clients are responsible for:

  • Maintaining secure internal access controls

  • Backing up critical data

  • Ensuring lawful data collection

  • Limiting access to authorized employees and contractors

12. Incident Response

In the event of a confirmed security incident affecting client data:

  • Clients will be notified without undue delay

  • We will provide relevant details as required by law

  • We will take immediate remediation steps

13. Limitation of Liability

The Software is provided “AS IS.”
Liability is limited as set forth in the governing License Agreement.

Dexterion is not responsible for:

  • Indirect or consequential damages

  • Data loss due to client misconfiguration

  • Client failure to maintain backups

14. Governing Law & Dispute Resolution

This Policy is governed by the laws of the State of Indiana.

Disputes shall be resolved through:

  1. Good faith negotiation

  2. Binding arbitration in Indiana

15. Updates to This Policy

Dexterion may update this Policy periodically.
Material changes will be communicated to enterprise clients.
